This document records your certifications and the conditions of Ariel Rider's software-key workflow. It is not a legal opinion, and it does not certify road legality in any jurisdiction.
Key terms

Key terms (New York City Class 3)
- This configuration is capped at 25 mph and keeps the throttle.
- It is authorized only in New York City (the five boroughs). Operating it elsewhere in New York is not legal.
- New York City limits e-bikes to 15 mph on city streets. You remain responsible for posted and local limits.
- Ariel Rider reviews New York City eligibility before any software-key decision and may request documentation.

A. Software key issuance
Customer is requesting a software key to alter the motor controller's assistance cutoff. Ariel Rider provides this software key solely as a tool for hardware modification. Customer understands that motor labeling alone does not guarantee local compliance. Ariel Rider does not represent that the resulting configuration matches the statutory definition of an electric bicycle in any particular jurisdiction.
B. Unauthorized modification
Customer explicitly agrees that the software reconfiguration is intended for use only in conjunction with the physical removal or disablement of the throttle assembly. Ariel Rider will not continue this workflow while the bike remains equipped with a functional throttle. Application or use of the software key on a vehicle equipped with a functional throttle, or without completing the required hardware changes, constitutes an unauthorized modification. Ariel Rider does not certify, endorse, or represent the vehicle for that combined condition, and Customer assumes all responsibility for any resulting noncompliant use.
B. New York City configuration and authorized use
Customer is requesting a 25 mph Class 3 software configuration for an eligible Ariel Rider vehicle, for operation only within the City of New York (the five boroughs). New York authorizes Class 3 bicycles with electric assist only in cities with a population of one million or more, and within New York State the City of New York is the only such city. On this New York City configuration the throttle is retained and motor assistance ceases at 25 mph. This configuration is not the 28 mph pedal-assist configuration. Application or use of this configuration for operation outside the City of New York constitutes an unauthorized and noncompliant use. Ariel Rider does not certify, endorse, or represent the vehicle as road-legal in any specific location, and Customer assumes all responsibility for lawful operation where the bike is ridden, including any local speed limits such as New York City's 15 mph limit on city streets.
C. Rider certification and assumption of risk
Ariel Rider does not evaluate, guarantee, or certify any specific vehicle configuration for public-road legality. Customer assumes responsibility for ensuring the vehicle complies with all state and local laws, including age, helmet, access, equipment, labeling, and safe-operation rules where applicable.
D. Documentation and warranty limitation
Continuation of this workflow and any later software-key release are conditional upon Ariel Rider's receipt of photographic documentation demonstrating the completed required hardware changes, including throttle removal or disablement. Ariel Rider may stop this workflow, decline to release, or revoke access to the software key if that documentation is not provided. Ariel Rider does not waive or broaden existing warranty coverage through this portal. Operating the vehicle in a noncompliant configuration, or applying the software key without completing the required hardware changes, constitutes an unauthorized modification. Ariel Rider reserves the right to deny warranty claims for drivetrain or related component damage arising from or related to unauthorized modification, misuse, or a noncompliant setup.
D. Eligibility review and warranty limitation
Continuation of this workflow and any later software-key release are conditional upon Ariel Rider's review of Customer's eligibility for a New York City Class 3 configuration, which may include documentation of New York City residence or primary operation. Ariel Rider may stop this workflow, decline to release, or revoke access to the software key if eligibility is not established or if requested documentation is not provided. Ariel Rider does not waive or broaden existing warranty coverage through this portal. Operating the vehicle in a noncompliant configuration, including outside the City of New York or above applicable local speed limits, constitutes an unauthorized and noncompliant use. Ariel Rider reserves the right to deny warranty claims for drivetrain or related component damage arising from or related to unauthorized modification, misuse, or a noncompliant setup.
E. Limitation of liability
To the maximum extent permitted by applicable law, Ariel Rider and its affiliates are not liable for direct, indirect, incidental, special, or consequential damages arising from or related to the rider's use of the software key, the rider's vehicle configuration, or any operation in a noncompliant condition.
F. Indemnification
To the maximum extent permitted by applicable law, Customer agrees to defend, indemnify, and hold Ariel Rider and its affiliates harmless from claims, fines, penalties, damages, and reasonable costs arising from Customer's unlawful operation, unauthorized modification, code sharing, or breach of this agreement.
